Alteriorr Seller, Payment Settlement & Logistics Terms & Conditions
1. Introduction
- This Seller Agreement (“Agreement”) governs the use of the Alteriorr platform by registered sellers. By registering, accessing, or using the platform, the seller agrees to be bound by the terms and conditions outlined herein.
- This Agreement constitutes a legally binding contract under the Information Technology Act, 2000 and other applicable laws of India.
2. Seller Eligibility & Registration
Sellers must provide accurate and complete details including:
- Registered Business Name
- Business Type (Proprietorship, Partnership, LLP, Company, etc.)
- PAN / GST details
- Bank account details
Sellers are responsible for maintaining updated and valid information at all times.
Alteriorr reserves the right to approve, reject, or suspend any seller registration at its sole discretion.
3. Product Listing & Content Responsibility
Sellers are solely responsible for:
- Product title, description, specifications, and pricing
- Product images and brand representation (including logo)
- Ensuring listings are accurate and not misleading
Sellers must not list:
- Illegal, counterfeit, or restricted products
- Items violating intellectual property rights
Alteriorr reserves the right to modify or remove listings that violate policies.
4. Order Fulfillment & Logistics
Sellers agree to:
- Process and dispatch orders within defined timelines
- Ensure proper packaging to prevent damage
- Maintain quality standards for all products
Logistics may be:
- Managed by Alteriorr logistics partners, or
- Self-managed by sellers (where enabled)
Responsibility of the product remains with the seller until successful handover to the logistics partner.
5. Delivery & Confirmation
An order is considered successfully completed only upon:
- Confirmation of delivery by the logistics partner/system
- All payment settlements are dependent on delivery confirmation.
6. Pricing, Discounts & Promotions
Sellers have the flexibility to set product prices.
Alteriorr reserves the right to:
- Run platform-wide promotions, campaigns, and discounts
- Adjust product visibility based on pricing competitiveness and performance
7. Payment Settlement Terms
7.1 Settlement Cycle
Prepaid Orders:
- 80% payout → T+3 days from successful delivery
- 20% payout → T+8 days from delivery
Cash on Delivery (COD) Orders:
- 80% payout → T+7 days from successful delivery
- 20% payout → T+10 days from delivery
“T” refers to the date of successful delivery.
7.2 Net Payable Amount
The “Net Payable Amount” shall mean the order value after deduction of:
- Platform commission
- Shipping and logistics charges
- Payment gateway fees
- Applicable taxes (GST, TDS, etc.)
- Penalties, returns, refunds, or adjustments
7.3 Settlement Processing
Settlements will be processed on working days only
Credit to the seller’s bank account may take 1–3 business days
8. COD Remittance
COD payouts are subject to receipt of funds from logistics partners
Any delay from logistics/courier partners may result in corresponding delay in seller settlements
9. Returns, Refunds & Adjustments
In case of Returns , Cancellations, Customer refunds, the amount will be:
- Adjusted against future settlements, or
- Recovered from seller wallet/payouts
Alteriorr reserves the right to withhold settlements for disputed transactions until resolution.
10. Disputes & Settlement Holds
Payments may be temporarily withheld in cases of:
- Customer disputes
- Suspected fraud
- High return or complaint rates
Settlement will resume after investigation and resolution.
11. Reserve / Holdback Policy
Alteriorr may maintain a rolling reserve of up to 10% of seller payouts for:
- Returns and refunds
- Chargebacks
- Fraud risk mitigation
Release of reserve amount shall be at Alteriorr’s discretion.
12. Seller Performance & Penalties
To maintain high service standards and customer satisfaction, sellers are required to meet platform-defined performance benchmarks.
12.1 Key Performance Metrics
Seller performance will be evaluated based on:
- Order acceptance rate
- Dispatch timelines
- Delivery success rate
- Return and cancellation rate
- Customer complaints, ratings, and feedback
12.2 Penalty Scenarios
Penalties may applied in the following situations:
- Late Dispatch: Failure to ship orders within committed timelines
- Seller-Initiated Cancellation: Cancellation after order confirmation
- High Return Rate: Due to poor quality, incorrect product, or mismatch
- Product Quality Issues: Defective, damaged, or misleading products
- Incorrect or Misleading Listings: False descriptions, wrong images, or pricing manipulation
- Packaging Failures: Improper packaging resulting in product damage
12.3 Types of Penalties
Depending on the severity and frequency, Alteriorr may apply:
- Monetary deductions from payouts
- Increased commissions or logistics charges
- Temporary withholding of settlements
- Reduced product visibility or ranking
- Listing suspension or account suspension
12.4 Performance Review & Action
Sellers with consistently poor performance may be:
- Placed under monitoring
- Subject to stricter settlement cycles
- Temporarily or permanently suspended
13. Platform Rights
Alteriorr reserves the right to:
- Suspend or terminate seller accounts
- Remove or modify product listings
- Withhold or adjust payments
- Modify platform policies and settlement terms
14. Data Usage & Marketing Rights
Sellers grant Alteriorr the right to:
- Use product images, descriptions, and brand assets
- Promote listings across marketing channels
- Feature products and sellers in campaigns
15. Modification of Terms
- Alteriorr may revise these terms at any time
- Sellers will be notified of significant updates
- Continued use of the platform implies acceptance
16. Acceptance of Terms
By registering on Alteriorr, the seller:
- Confirms they have read and understood this Agreement
- Agrees to comply with all applicable laws
- Accepts this as a legally binding contract
